Acceptable Use Policy

1. Introduction and Binding Agreement

This Acceptable Use Policy ("AUP" or "Policy") governs your use of the Dope Menus, LLC ("Company," "we," "us," or "our") B2B collaborative platform for Michigan's licensed cannabis industry (the "Platform" or "Services"). This AUP is incorporated into and forms part of our Terms of Service.

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO COMPLY WITH THIS ACCEPTABLE USE POLICY IN ITS ENTIRETY. If you do not agree to these usage requirements and restrictions, you must not access or use the Platform. Violations of this Policy may result in immediate account suspension or termination, legal action, and reporting to law enforcement authorities.

CRITICAL NOTICE: This AUP contains mandatory prohibitions and requirements that are legally enforceable. Violations may subject you to civil and criminal liability, including damages, injunctive relief, and government penalties. Read this Policy carefully and ensure all users associated with your account understand and comply with it.

2. Scope and Application

2.1 Who This Policy Applies To

This AUP applies to ALL users of the Platform, including but not limited to:

  • Account holders and authorized representatives of licensed cannabis businesses
  • Employees, agents, contractors, and affiliates accessing the Platform on behalf of a business
  • Administrators, managers, and end users with any level of Platform access
  • Third-party integrators, developers, or API users (if applicable)
  • Anyone accessing Platform content or services, whether directly or indirectly

2.2 Corporate Responsibility

If you are accessing the Platform on behalf of a business entity, YOU ARE RESPONSIBLE FOR ENSURING ALL USERS ASSOCIATED WITH YOUR ACCOUNT COMPLY WITH THIS AUP. Violations by any user under your account will be attributed to your business entity, and you may be held liable for their actions.

2.3 Platform Components Covered

This AUP applies to all aspects of the Platform, including:

  • Website, web applications, and mobile applications
  • APIs, integrations, and third-party connections
  • User accounts, profiles, and authentication systems
  • Data storage, transmission, and processing services
  • Communication tools, messaging, and collaboration features
  • Marketplace, transaction coordination, and order management
  • Analytics, reporting, and business intelligence tools

3. PROHIBITED ACTIVITIES - General Restrictions

THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED. Engaging in any prohibited activity will result in immediate enforcement action, up to and including account termination, legal action, and law enforcement notification.

3.1 Illegal and Unlawful Activities

YOU MUST NOT use the Platform to:

  • VIOLATE ANY FEDERAL, STATE, OR LOCAL LAW, REGULATION, OR ORDINANCE
  • ENGAGE IN ANY CRIMINAL ACTIVITY OR FACILITATE THE COMMISSION OF CRIMES
  • VIOLATE MICHIGAN CANNABIS LAWS including MRTMA (MCL 333.27951 et seq.) and MMFLA (MCL 333.27101 et seq.)
  • DISTRIBUTE, SELL, OR FACILITATE THE SALE OF CANNABIS TO UNLICENSED ENTITIES OR INDIVIDUALS
  • VIOLATE FEDERAL CONTROLLED SUBSTANCES ACT PROVISIONS (21 U.S.C. § 801 et seq.) where applicable
  • ENGAGE IN MONEY LAUNDERING, FRAUD, EMBEZZLEMENT, OR FINANCIAL CRIMES
  • VIOLATE EXPORT CONTROLS, SANCTIONS, OR TRADE RESTRICTION LAWS
  • FACILITATE TAX EVASION OR FRAUDULENT FINANCIAL REPORTING

3.2 Misrepresentation and Fraud

YOU MUST NOT:

  • PROVIDE FALSE, MISLEADING, OR INACCURATE INFORMATION during registration or at any time thereafter
  • FALSIFY OR MISREPRESENT YOUR LICENSE STATUS, BUSINESS IDENTITY, OR AUTHORIZATION TO USE THE PLATFORM
  • IMPERSONATE ANOTHER PERSON, BUSINESS, OR ENTITY
  • FORGE HEADERS, MANIPULATE IDENTIFIERS, OR DISGUISE THE ORIGIN OF ANY CONTENT
  • CREATE FALSE OR MISLEADING PRODUCT LISTINGS, DESCRIPTIONS, OR REPRESENTATIONS
  • ENGAGE IN DECEPTIVE TRADE PRACTICES, FALSE ADVERTISING, OR CONSUMER FRAUD
  • MISREPRESENT LAB TESTING RESULTS, THC/CBD CONTENT, OR PRODUCT QUALITY
  • FALSIFY METRC TRACKING DATA OR CHAIN OF CUSTODY DOCUMENTATION

3.3 Unauthorized Access and Security Violations

YOU MUST NOT:

  • ACCESS OR ATTEMPT TO ACCESS ANY ACCOUNT, DATA, SYSTEM, OR NETWORK WITHOUT AUTHORIZATION
  • BYPASS, CIRCUMVENT, OR DISABLE SECURITY FEATURES, AUTHENTICATION MECHANISMS, OR ACCESS CONTROLS
  • USE STOLEN, SHARED, OR UNAUTHORIZED LOGIN CREDENTIALS
  • PROBE, SCAN, OR TEST THE VULNERABILITY OF THE PLATFORM OR ANY CONNECTED SYSTEMS
  • BREACH OR ATTEMPT TO BREACH PLATFORM SECURITY MEASURES
  • INTERCEPT, MONITOR, OR DECRYPT DATA TRANSMISSIONS NOT INTENDED FOR YOU
  • USE AUTOMATED TOOLS TO ACCESS THE PLATFORM WITHOUT EXPLICIT WRITTEN PERMISSION
  • ENGAGE IN PASSWORD CRACKING, CREDENTIAL STUFFING, OR BRUTE FORCE ATTACKS

3.4 System Abuse and Interference

YOU MUST NOT:

  • DISRUPT, INTERFERE WITH, OR IMPAIR PLATFORM OPERATIONS, SERVERS, OR NETWORKS
  • LAUNCH DENIAL-OF-SERVICE (DoS) OR DISTRIBUTED DENIAL-OF-SERVICE (DDoS) ATTACKS
  • INTRODUCE VIRUSES, MALWARE, TROJANS, WORMS, RANSOMWARE, OR OTHER MALICIOUS CODE
  • OVERLOAD, FLOOD, SPAM, OR OVERWHELM PLATFORM SYSTEMS OR INFRASTRUCTURE
  • USE AUTOMATED SCRIPTS, BOTS, SPIDERS, OR CRAWLERS WITHOUT WRITTEN AUTHORIZATION
  • ENGAGE IN WEB SCRAPING, DATA MINING, OR HARVESTING WITHOUT PERMISSION
  • CONSUME EXCESSIVE RESOURCES OR DEGRADE PERFORMANCE FOR OTHER USERS

4. PROHIBITED ACTIVITIES - Cannabis-Specific Restrictions

MICHIGAN CANNABIS LAWS IMPOSE SPECIFIC RESTRICTIONS ON CANNABIS BUSINESSES. THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED AND MAY RESULT IN REGULATORY REPORTING.

4.1 Unlicensed Cannabis Activities

YOU MUST NOT:

  • USE THE PLATFORM WITHOUT A VALID, CURRENT MICHIGAN CANNABIS LICENSE issued by the Cannabis Regulatory Agency
  • CONTINUE USING THE PLATFORM AFTER YOUR LICENSE EXPIRES, IS SUSPENDED, OR IS REVOKED
  • FACILITATE TRANSACTIONS WITH UNLICENSED BUSINESSES, INDIVIDUALS, OR ENTITIES
  • ENGAGE IN ILLICIT MARKET ACTIVITIES OR BLACK MARKET CANNABIS SALES
  • USE THE PLATFORM TO COORDINATE UNLICENSED CULTIVATION, PROCESSING, OR DISTRIBUTION
  • OPERATE OUTSIDE THE SCOPE OF YOUR LICENSE TYPE OR GEOGRAPHIC RESTRICTIONS

4.2 Metrc and Tracking Violations

YOU MUST NOT:

  • FALSIFY METRC TRACKING DATA OR SEED-TO-SALE RECORDS
  • FAIL TO REPORT TRANSACTIONS TO METRC AS REQUIRED BY MICHIGAN LAW
  • MANIPULATE INVENTORY LEVELS TO CONCEAL DIVERSIONS OR LOSSES
  • CREATE OR USE COUNTERFEIT METRC TAGS OR IDENTIFIERS
  • TRANSFER CANNABIS PRODUCTS WITHOUT PROPER METRC DOCUMENTATION
  • BYPASS OR CIRCUMVENT METRC INTEGRATION FOR REGULATORY EVASION

4.3 Product Safety and Compliance Violations

YOU MUST NOT:

  • LIST, SELL, OR DISTRIBUTE CANNABIS PRODUCTS THAT FAIL REQUIRED LABORATORY TESTING
  • MISREPRESENT LAB TEST RESULTS, POTENCY, OR SAFETY DATA
  • DISTRIBUTE PRODUCTS WITH CONTAMINATION (PESTICIDES, HEAVY METALS, MOLD, BACTERIA)
  • SELL CANNABIS PRODUCTS WITH IMPROPER OR MISSING LABELING
  • VIOLATE PACKAGING AND CHILD-RESISTANT CONTAINER REQUIREMENTS
  • EXCEED LEGAL THC LIMITS OR SERVING SIZE RESTRICTIONS
  • DISTRIBUTE PRODUCTS THAT VIOLATE MICHIGAN ADMINISTRATIVE RULES

4.4 Marketing and Advertising Violations

YOU MUST NOT:

  • ADVERTISE TO MINORS OR TARGET INDIVIDUALS UNDER AGE 21
  • MAKE FALSE OR MISLEADING HEALTH CLAIMS ABOUT CANNABIS PRODUCTS
  • VIOLATE MICHIGAN CANNABIS ADVERTISING RESTRICTIONS (MCL 333.27959)
  • USE IMAGERY, BRANDING, OR MARKETING THAT APPEALS TO CHILDREN
  • ADVERTISE ON TELEVISION, RADIO, OR BILLBOARDS IN VIOLATION OF RESTRICTIONS
  • MAKE UNSUBSTANTIATED MEDICAL OR THERAPEUTIC CLAIMS
  • ENGAGE IN DECEPTIVE OR UNFAIR TRADE PRACTICES

4.5 Age Verification and Sales to Minors

YOU MUST NOT:

  • SELL, DISTRIBUTE, OR FACILITATE THE SALE OF CANNABIS TO ANYONE UNDER AGE 21
  • BYPASS OR DISABLE AGE VERIFICATION SYSTEMS OR REQUIREMENTS
  • FAIL TO VERIFY IDENTIFICATION FOR RETAIL SALES AS REQUIRED BY LAW
  • ALLOW MINORS TO ACCESS RESTRICTED AREAS OR CONTENT

5. PROHIBITED ACTIVITIES - Intellectual Property and Content

5.1 Intellectual Property Infringement

YOU MUST NOT:

  • INFRINGE COPYRIGHTS, TRADEMARKS, PATENTS, TRADE SECRETS, OR OTHER INTELLECTUAL PROPERTY RIGHTS
  • UPLOAD, POST, OR DISTRIBUTE COPYRIGHTED CONTENT WITHOUT AUTHORIZATION
  • USE TRADEMARKS, LOGOS, OR BRAND NAMES OF THIRD PARTIES WITHOUT PERMISSION
  • REVERSE ENGINEER, DECOMPILE, OR DISASSEMBLE PLATFORM SOFTWARE OR CODE
  • CREATE DERIVATIVE WORKS BASED ON THE PLATFORM WITHOUT WRITTEN CONSENT
  • COPY, REPRODUCE, OR DUPLICATE PLATFORM CONTENT, FEATURES, OR FUNCTIONALITY
  • VIOLATE DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) PROVISIONS

5.2 Prohibited Content

YOU MUST NOT upload, post, transmit, or distribute content that is:

  • ILLEGAL, UNLAWFUL, OR VIOLATES ANY APPLICABLE LAW OR REGULATION
  • DEFAMATORY, LIBELOUS, SLANDEROUS, OR DISPARAGING
  • OBSCENE, PORNOGRAPHIC, OR SEXUALLY EXPLICIT
  • HATEFUL, DISCRIMINATORY, RACIST, SEXIST, OR PROMOTES VIOLENCE
  • HARASSING, THREATENING, ABUSIVE, OR INTIMIDATING
  • FALSE, MISLEADING, OR DECEPTIVE
  • INVASIVE OF PRIVACY OR VIOLATES PUBLICITY RIGHTS
  • PROMOTES ILLEGAL DRUG USE (OUTSIDE LEGAL CANNABIS BUSINESS CONTEXT)

5.3 Data Privacy Violations

YOU MUST NOT:

  • COLLECT, HARVEST, OR SCRAPE PERSONAL INFORMATION WITHOUT AUTHORIZATION
  • VIOLATE DATA PRIVACY LAWS INCLUDING GDPR, CCPA, OR OTHER REGULATIONS
  • SELL, RENT, OR TRADE PERSONAL INFORMATION OBTAINED THROUGH THE PLATFORM
  • USE PERSONAL INFORMATION FOR PURPOSES OTHER THAN LEGITIMATE BUSINESS TRANSACTIONS
  • DISCLOSE CONFIDENTIAL OR PROPRIETARY INFORMATION OF OTHER USERS

6. PROHIBITED ACTIVITIES - Abuse and Misuse

6.1 Spam and Unsolicited Communications

YOU MUST NOT:

  • SEND SPAM, UNSOLICITED ADVERTISING, OR PROMOTIONAL MESSAGES
  • ENGAGE IN MASS EMAIL CAMPAIGNS OR BULK MESSAGING WITHOUT CONSENT
  • USE THE PLATFORM TO CONDUCT PHISHING ATTACKS OR SOCIAL ENGINEERING
  • SEND DECEPTIVE OR MISLEADING MESSAGES WITH FORGED HEADERS
  • VIOLATE CAN-SPAM ACT OR OTHER ANTI-SPAM REGULATIONS

6.2 Harassment and Abuse

YOU MUST NOT:

  • HARASS, STALK, THREATEN, OR INTIMIDATE OTHER USERS
  • ENGAGE IN CYBERBULLYING OR ABUSIVE CONDUCT
  • MAKE THREATS OF VIOLENCE OR HARM
  • REPEATEDLY CONTACT USERS WHO HAVE REQUESTED NO FURTHER CONTACT
  • ENGAGE IN RETALIATION OR RETRIBUTIVE ACTIONS AGAINST OTHER USERS

6.3 Market Manipulation and Anti-Competitive Conduct

YOU MUST NOT:

  • ENGAGE IN PRICE FIXING, COLLUSION, OR ANTI-COMPETITIVE AGREEMENTS
  • MANIPULATE MARKET DATA, PRICING, OR AVAILABILITY INFORMATION
  • COORDINATE BOYCOTTS OR UNFAIR TRADE PRACTICES
  • VIOLATE ANTITRUST LAWS OR ENGAGE IN MONOPOLISTIC BEHAVIOR
  • CREATE FAKE REVIEWS, RATINGS, OR TESTIMONIALS
  • MANIPULATE ANALYTICS OR METRICS TO GAIN UNFAIR ADVANTAGE

7. Compliance Obligations

7.1 Affirmative Compliance Duties

You MUST:

  • MAINTAIN A VALID, ACTIVE MICHIGAN CANNABIS LICENSE in good standing at all times
  • IMMEDIATELY NOTIFY US IF YOUR LICENSE STATUS CHANGES, EXPIRES, OR IS SUSPENDED
  • COMPLY WITH ALL MICHIGAN CANNABIS LAWS, REGULATIONS, AND ADMINISTRATIVE RULES
  • MAINTAIN ACCURATE METRC TRACKING AND SEED-TO-SALE DOCUMENTATION
  • ENSURE ALL PRODUCTS MEET TESTING, LABELING, AND PACKAGING REQUIREMENTS
  • MAINTAIN PROPER INSURANCE COVERAGE AS REQUIRED BY LAW
  • COOPERATE FULLY WITH REGULATORY AUDITS AND INSPECTIONS

7.2 Account Security Obligations

You MUST:

  • MAINTAIN THE CONFIDENTIALITY AND SECURITY OF YOUR ACCOUNT CREDENTIALS
  • USE STRONG, UNIQUE PASSWORDS AND ENABLE MULTI-FACTOR AUTHENTICATION
  • IMMEDIATELY REPORT ANY UNAUTHORIZED ACCESS OR SECURITY BREACHES
  • LIMIT ACCESS TO AUTHORIZED PERSONNEL ONLY
  • REGULARLY REVIEW ACCOUNT ACTIVITY FOR SUSPICIOUS BEHAVIOR

7.3 Record-Keeping and Documentation

You MUST:

  • MAINTAIN ACCURATE AND COMPLETE RECORDS OF ALL TRANSACTIONS
  • RETAIN RECORDS FOR THE PERIOD REQUIRED BY MICHIGAN LAW (typically 7 years)
  • PROVIDE RECORDS TO REGULATORY AUTHORITIES UPON REQUEST
  • ENSURE DATA ACCURACY AND INTEGRITY IN ALL PLATFORM SUBMISSIONS

8. Monitoring and Investigation Rights

8.1 Platform Monitoring

WE RESERVE THE RIGHT, BUT ARE NOT OBLIGATED, TO MONITOR, REVIEW, INVESTIGATE, AND ANALYZE ALL PLATFORM ACTIVITY, including but not limited to: user accounts, transactions, communications, content uploads, system access logs, and network traffic. We may use automated tools, manual reviews, and third-party services to detect violations of this AUP.

8.2 Investigation Authority

We reserve the right to investigate any suspected violations of this AUP. During investigations, we may:

  • Suspend or restrict account access pending investigation completion
  • Review account data, transaction history, and communications
  • Contact third parties, including regulatory authorities or law enforcement
  • Preserve evidence and maintain audit trails
  • Disclose information as necessary to investigate violations

8.3 No Duty to Monitor

WHILE WE RESERVE THE RIGHT TO MONITOR PLATFORM ACTIVITY, WE ARE NOT OBLIGATED TO DO SO AND ASSUME NO LIABILITY FOR FAILING TO DETECT OR PREVENT VIOLATIONS. Users are solely responsible for their own compliance with this AUP and all applicable laws.

9. Enforcement Actions and Penalties

9.1 Enforcement Measures

Violations of this AUP may result in any or all of the following enforcement actions, AT OUR SOLE DISCRETION:

  • Warning or Formal Notice: Written notice of violation and requirement to cease prohibited activity
  • Content Removal: Deletion or removal of violating content, listings, or materials
  • Feature Restriction: Limitation or suspension of specific Platform features or capabilities
  • Account Suspension: Temporary suspension of account access for specified duration
  • Account Termination: Permanent termination of account and all associated data
  • Financial Penalties: Assessment of liquidated damages or penalties as specified in Terms of Service
  • Legal Action: Civil litigation to recover damages, seek injunctive relief, or enforce obligations
  • Criminal Referral: Reporting to law enforcement for criminal investigation and prosecution
  • Regulatory Reporting: Notification to Michigan Cannabis Regulatory Agency or other authorities

9.2 Immediate Termination for Serious Violations

CERTAIN VIOLATIONS WARRANT IMMEDIATE ACCOUNT TERMINATION WITHOUT PRIOR NOTICE, including but not limited to:

  • Engaging in illegal activities or criminal conduct
  • Operating without a valid cannabis license
  • Falsifying Metrc data or regulatory documentation
  • Attempting unauthorized access or security breaches
  • Distributing malware or conducting cyberattacks
  • Selling to minors or facilitating unlicensed sales
  • Fraud, misrepresentation, or material false statements

9.3 No Refunds Upon Termination

IF YOUR ACCOUNT IS SUSPENDED OR TERMINATED FOR VIOLATIONS OF THIS AUP, YOU WILL NOT BE ENTITLED TO ANY REFUND OF FEES PAID OR CREDITS REMAINING. All outstanding obligations remain due and payable.

10. Reporting Violations

10.1 How to Report Violations

If you become aware of any violation of this AUP by another user, please report it immediately to:

Include the following information in your report:

  • Your name, business name, and contact information
  • Detailed description of the violation and prohibited activity
  • Username, account, or business name of the violating party (if known)
  • Date, time, and location within Platform where violation occurred
  • Screenshots, documentation, or evidence supporting your report
  • Any other relevant information

10.2 Investigation and Response

We will investigate all reports of AUP violations in accordance with our internal procedures. While we take all reports seriously, we are not obligated to take action on every report and reserve the right to determine appropriate responses in our sole discretion. We may or may not notify you of investigation outcomes due to confidentiality and privacy considerations.

10.3 False Reports

SUBMITTING FALSE, MISLEADING, OR FRIVOLOUS REPORTS IS ITSELF A VIOLATION OF THIS AUP AND MAY RESULT IN ENFORCEMENT ACTION AGAINST YOU. Do not abuse the reporting system.

11. Law Enforcement Cooperation

11.1 Mandatory Reporting

WE ARE COMMITTED TO COOPERATING FULLY WITH LAW ENFORCEMENT AND REGULATORY AUTHORITIES. We will report suspected illegal activity, including but not limited to:

  • Unlicensed cannabis sales or distribution
  • Sales to minors or underage access attempts
  • Fraud, identity theft, or financial crimes
  • Cybercrimes, hacking, or security breaches
  • Threats of violence or criminal conduct
  • Violations of federal or state cannabis laws

11.2 Disclosure to Authorities

We may disclose user information, account data, transaction records, communications, and any other information to law enforcement, regulatory agencies, or government authorities when:

  • Required by law, regulation, legal process, subpoena, or court order
  • Necessary to comply with government investigations or inquiries
  • Needed to report suspected criminal activity or violations of law
  • Required to protect public safety or prevent imminent harm
  • Necessary to enforce our legal rights or defend against legal claims

11.3 No Liability for Disclosures

YOU ACKNOWLEDGE AND AGREE THAT WE SHALL HAVE NO LIABILITY TO YOU OR ANY THIRD PARTY FOR DISCLOSURES MADE TO LAW ENFORCEMENT OR REGULATORY AUTHORITIES IN GOOD FAITH COMPLIANCE WITH LEGAL OBLIGATIONS OR TO PROTECT PUBLIC SAFETY.

12. Changes to This Policy

We reserve the right to modify, amend, or update this Acceptable Use Policy at any time to reflect changes in law, regulatory requirements, Platform features, or security considerations. Material changes will be communicated via email or Platform notification at least 30 days before the changes take effect.

Your continued use of the Platform after changes become effective constitutes acceptance of the modified AUP. If you do not agree to the modified AUP, you must discontinue use of the Platform immediately.

The "Last Updated" date at the top of this Policy indicates when the most recent changes were made. We encourage you to review this AUP periodically to stay informed of your obligations.

This Acceptable Use Policy is effective as of January 2025. By using the Platform, you acknowledge that you have read, understood, and agree to comply with this Policy in its entirety.
